BINDING ARBITRATION AND WAIVER OF CLASS ACTION

Additionally, you agree not to:
(a) Falsely represent LaCelie or its affiliates (b) Use the platform or its Content for illegal or misleading purposes (c) Remove or alter copyright marks, digital tags, or proprietary identifiers (d) Gain unauthorized access to parts of the Site, backend systems, or networks
(e) Upload malware, viruses, or other malicious software (f) Interfere with the Site’s performance or attempt to bypass security protocols (g) Impersonate another person or mislead others about your identity (h) Assist or instruct others to perform any of the above activities. (a) YOUR ACCESS TO OR INABILITY TO USE THE SERVICES OR CONTENT PROVIDED; OR
(b) DATA TRANSMISSION OVER THE INTERNET, INCLUDING ANY DELAYS, ERRORS, OR SECURITY BREACHES.
IF APPLICABLE LAW DOES NOT ALLOW LIMITATIONS ON LIABILITY FOR CERTAIN TYPES OF DAMAGES, THEN LACELIE'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT ALLOWED BY SUCH LAW. FURTHER, IF LIABILITY IS FOUND ON THE PART OF LACELIE OR ANY OF ITS AFFILIATES, PARTNERS, OR SUPPLIERS UNDER THESE TERMS, THE TOTAL LIABILITY FOR ALL CLAIMS COMBINED SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) IN ANY CALENDAR YEAR.
THIS SECTION REFLECTS A FUNDAMENTAL BASIS OF THE AGREEMENT BETWEEN YOU AND LACELIE. THESE LIMITATIONS ARE A REASONABLE ALLOCATION OF RISK, AND WITHOUT THEM, THE SERVICES AND PRODUCTS WOULD NOT BE PROVIDED ON THE SAME TERMS. YOU AGREE THAT THESE LIMITATIONS SURVIVE EVEN IF A SPECIFIED REMEDY FAILS ITS ESSENTIAL PURPOSE.
8. Indemnification
You agree to defend, indemnify, and hold harmless LaCelie, its affiliates, and their respective officers, employees, and agents from and against any third-party claims, legal actions, losses, damages, expenses, or liabilities (including reasonable legal fees) resulting from:
(a) your access to or use of the Services or any related Materials,
(b) your breach of these Terms, or
(c) your violation of another party’s rights.
LaCelie reserves the right—but is not obligated—to assume the exclusive defense and control of any issue otherwise subject to indemnification by you, and you agree to cooperate fully in such cases. These indemnity obligations will remain in effect even after these Terms expire or are terminated.
9. Revisions to These Terms
LaCelie may update these Terms at any time, at its sole discretion. When changes occur, a revised version will be made available through the Sites, and the “Last Updated” date at the top of the Terms will reflect the modification date. In some cases, LaCelie may require your explicit consent before continued access to the Services is allowed.
If you do not agree with any changes, your sole remedy is to discontinue use of the Services. By continuing to use the Services after any updates become effective, you confirm your acceptance of the revised Terms. You are responsible for reviewing the Terms periodically to stay informed about any updates.
10. Miscellaneous Provisions
These Terms, along with the referenced Privacy Policy and any other policies or agreements you explicitly enter into with LaCelie (such as promotional terms), represent the entire agreement between you and LaCelie regarding your access to and use of the Services and related content. LaCelie's digital or stored version of these Terms shall be considered legally binding and enforceable.
Unless otherwise stated, these Terms do not confer any rights or benefits to third parties. LaCelie may transfer its rights or obligations under these Terms to any third party at any time without notice. You may not assign or transfer your rights without LaCelie's prior written consent.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be interpreted in a way that most closely reflects the original intent while remaining compliant with applicable law. The rest of the Terms will remain in full force.
Failure by Lacell to enforce any provision of these Terms on one or more occasions shall not constitute a waiver of its right to enforce that provision (or any other) in the future. Any waiver must be in writing to be valid.
You are solely responsible for ensuring that your use of the Services complies with all laws that apply to you, including those of your jurisdiction or any relevant regulatory authority. You agree not to use the Services in any way that would violate such laws or these Terms.

We reserve the right, at our sole discretion and with or without notice, to cancel or adjust any order quantity if we believe it violates these Terms.
13. Payment and Order Terms
The Services and Materials may allow you to place orders for products from LaCelie. The total amount due, including applicable taxes, shipping, and handling, will be displayed to you before you finalize your order. By placing an order, you agree (a) to permit LaCeliel to charge your credit card for verification, pre-authorization, and payment, and (b) that you are responsible for any additional charges from your bank or other financial institutions, as well as any taxes or fees associated with your order.
Your order is not final until accepted and confirmed by LaCelie. We reserve the right to limit product quantities or refuse service to any customer without prior notice. Additionally, LaCelie may require information verification before accepting or shipping any order.
When providing your bank card information, account numbers, or other payment details, you confirm that you are the authorized user of the payment method used.
14. Risk of Loss, Return Policies, and FAQ
Ownership of the products transfers from LaCelie to you once they are shipped from our facility. For shipping and order processing details, please refer to our Shipping FAQ. Please note that delivery times are estimates and may change.
Returns will only be accepted for damaged or defective products. If you wish to return any items, you will be responsible for the shipping costs. Refunds are only issued for returns received by LaCelie within 30 days of the order date. Products that are partially used or appear to have been tampered with are ineligible for refunds.
If the product is damaged or defective, do not use it. Please take a photo of the item and send it, along with your order information, to: support@lacelie.com.
15. Calling, Texting, and Electronic Communications
You agree that LaCelie may communicate with you electronically. We may reach out to you via email, post notifications on the Site, or through other methods agreed upon. You acknowledge that all communications, agreements, disclosures, and notices provided electronically meet any legal requirements for written communication. 15.1 Mobile Terms of Service
The LaCelie mobile message service (the “Service”) is operated by LaCelie Inc. (“LaCelie,” “we,” or “us”). By using the Service, you agree to these terms and conditions (“Mobile Terms”). We may modify or discontinue the Service, or change any of its features, at any time without notice. We may also update these Mobile Terms, and by continuing to use the Service, you agree to any such changes.
By subscribing to LaCelie's SMS/text messaging service, you consent to receive recurring SMS/text messages from LaCelie to the mobile number you provided, even if that number is listed on any state or national Do Not Call registry. These messages may be sent using automated dialing systems or other technology. Service-related messages may include updates, alerts, and order status notifications. Promotional messages may include offers, discounts, and other marketing information.
Participation in this service is completely voluntary, and you are not required to join in order to make purchases from LaCelie. You are responsible for any text message charges imposed by your wireless provider. Message frequency varies, and data rates may apply—check your mobile plan for details.
To opt-out of the Service at any time, text STOP to the provided number or follow the unsubscribe link in any message. You will receive a confirmation text, and no further messages will be sent unless you opt back in.

We may change our short code or contact number used for the Service at any time, and you will be notified of these changes. Messages sent to previous numbers may not be received.
The wireless carriers supporting this Service are not responsible for any delayed or undelivered messages. You must provide a valid mobile number to participate, and if your number changes, you’ll need to re-enroll.
To the fullest extent permitted by law, LaCelie is not liable for failed, delayed, or misdirected message deliveries, errors in the content of any message, or any actions you take or do not take based on the information received.

16. Applicable Law and Dispute Resolution
These Terms and any disputes arising from your use of the Services or products shall be governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Any disputes will be resolved through confidential, individual binding arbitration administered by JAMS, except for claims that qualify for small claims court. You waive the right to participate in class action arbitration.
The arbitrator, not any court, will have exclusive authority to resolve disputes regarding the interpretation or enforceability of this arbitration agreement. Arbitration may be held at a mutually agreed location.
If arbitration is not allowed by law, disputes will be resolved in the courts of Delaware.
Each party is responsible for their own attorney fees, except as limited by JAMS rules or the arbitrator’s discretion.
All claims must be brought within one year from the date they arise.
17. Automatic Renewal
If you have purchased a subscription, you agree that your subscription will automatically renew at the rate and term provided at checkout. Your default payment method will be automatically charged after the subscription or trial period ends if you do not cancel or extend your subscription within the specified time. The subscription will continue to renew at the same price and term until you choose to cancel. You can cancel your subscription at no cost or modify the items in your subscription by contacting LaCelie support at support@lacelie.com.
By registering for a subscription to receive products, goods, or services from LaCelie on an ongoing basis, you expressly acknowledge and agree that (a) LaCelie (or our third-party payment processor) is authorized to charge you based on the frequency of shipments you have selected for your subscription (in addition to any applicable taxes and other charges) for as long as your subscription continues, and (b) your subscription is continuous until you cancel it or we suspend or stop providing access to the products, goods, or services in accordance with these terms.
You may cancel your subscription at any time, subject to the terms and additional rules provided. To cancel your subscription, please do so at least 5 days before your next billing date, as indicated in your order confirmation email. Cancellations made less than 5 days before the next billing date will take effect in the following billing cycle. You are responsible for all charges, including applicable taxes, incurred prior to the cancellation of your subscription.
